This Non-Circumvention Agreement (the "Agreement") forms part of the Mawahibna Terms of Service and applies to all users of the Mawahibna platform, including brands, agencies, and production talent. By creating an account and checking the acceptance box during registration, you agree to be bound by this Agreement. Mawahibna's ability to invest in the platform, improve matching, and protect users depends on transactions being completed through the platform for connections made through it.
This Agreement applies to all connections, introductions, and relationships first established through the Mawahibna platform, including responses to briefs, deal negotiations, and all communications facilitated through the platform messaging system. It does not apply to relationships that existed between the parties before either party joined Mawahibna, provided that such pre-existing relationship can be evidenced.
For connections first established through Mawahibna, users agree not to circumvent, avoid, bypass, or obviate Mawahibna's role in any transaction. Specifically, users shall not: (a) hire, engage, or transact with any party they were first introduced to through Mawahibna outside of the platform; (b) solicit or accept offers to conduct business outside the platform; (c) share contact information for the purpose of arranging off-platform transactions; (d) encourage, facilitate, or agree to any arrangement intended to avoid platform fees. This clause does not restrict talent from working on other platforms, maintaining their own client base, or accepting work from clients they knew independently of Mawahibna.
This obligation applies for twenty-four (24) months from the date of the initial introduction through the Mawahibna platform, regardless of whether the parties completed a transaction on the platform. The 24-month period restarts with each new introduction or transaction on the platform between the same parties.
In the event of a proven breach of this Agreement, the breaching party agrees to pay Mawahibna liquidated damages equal to three (3) times the platform fee that would have applied to the circumvented transaction, as a genuine pre-estimate of Mawahibna's loss. In accordance with Article 390 of the UAE Civil Code, a competent UAE court may adjust this amount to reflect actual proven loss if it determines the stipulated amount is disproportionate. Mawahibna reserves the right to pursue additional damages where actual loss exceeds the liquidated amount.
Users who receive off-platform solicitations, or who become aware of circumvention attempts by other users, are encouraged to report this using the Report function within any deal conversation, or by emailing legal@mawahibna.com. Reports are treated confidentially. Mawahibna does not penalise users for good-faith reports.
Mawahibna reserves the right to immediately suspend or terminate the accounts of any users found to have breached this Agreement, without notice. Where funds are held in escrow at the time of termination for a deal unrelated to the breach, those funds will be processed in accordance with the standard escrow release procedure.
This Agreement is governed by the laws of the United Arab Emirates. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, after a 30-day good-faith negotiation period.
If any provision of this Agreement is found to be unenforceable or invalid under applicable UAE law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
By creating a Mawahibna account and checking the acceptance box during registration, you confirm that you have read, understood, and agree to be bound by this Non-Circumvention Agreement. Your acceptance is recorded with a timestamp and stored securely in accordance with our Privacy Policy.
