This Non-Circumvention Agreement forms part of the Mawahibna Terms of Service and applies to all users of the Mawahibna platform, including brands, agencies, and production talent. By creating an account, you agree to be bound by this Agreement.
This Agreement applies to all connections, introductions, and relationships established through the Mawahibna platform, including brief responses, deal negotiations, and all communications facilitated through the platform messaging system.
Users agree not to circumvent, avoid, bypass, or obviate Mawahibna's role in any transaction or relationship that originated on the platform. Users shall not: (a) contact, hire, engage, or transact with any party they were introduced to through Mawahibna outside of the platform; (b) solicit or accept offers to transact outside of the platform; (c) share contact information for the purpose of conducting business outside the platform; (d) encourage or facilitate any arrangement intended to circumvent the platform.
This obligation applies for a period of twenty-four (24) months from the date of the initial introduction or connection through the Mawahibna platform, regardless of whether the parties subsequently complete a transaction on the platform.
In the event of a breach of this Agreement, the breaching party agrees to pay Mawahibna liquidated damages equal to three (3) times the platform fee that would have been charged on the circumvented transaction.
Users who become aware of circumvention attempts or off-platform solicitation by other users are encouraged to report this using the Report function available in all deal conversations, or by emailing legal@mawahibna.com.
Mawahibna reserves the right to immediately terminate the accounts of any users found to be in breach of this Agreement, without notice and without refund of any fees paid.
This Agreement is governed by the laws of the United Arab Emirates. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
By creating a Mawahibna account and checking the acceptance box during registration, you confirm that you have read, understood, and agree to be bound by this Non-Circumvention Agreement. Your acceptance is recorded with a timestamp and stored securely.
